First Swiss Post Ltd General Meeting

The first General Meeting of Swiss Post Ltd, incorporated in 2013, took place today in Berne. As sole shareholder, the Confederation approved the 2013 annual financial statements of the Group and a dividend totalling CHF 180 million, and granted discharge to the members of the Board of Directors. The Confederation also confirmed renewal of office for current Board members and the appointment of Dr. Myriam Meyer and Nadja Lang to the Board of Directors.

In its capacity as sole shareholder, the Confederation – represented by the Director of the Federal Finance Administration, Serge Gaillard – approved all proposals made by the Board of Directors at Swiss Post’s first General Meeting as a public limited company held in Berne. With operating income of 8,575 million francs and Group profit of 626 million francs, the financial statements as well as the annual report for the 2013 financial year were adopted. The dividend of 180 million francs to the Confederation was also approved.

The General Meeting elected Dr. Myriam Meyer and Nadja Lang as new members of the Board of Directors. They take over from the previous members Dominique Freymond and Nicola Thibaudeau. Dominique Freymond, former Vice-Chairman of the Board of Directors of Swiss Post Ltd, stood down after having served the maximum term of office of twelve years. Nicola Thibaudeau left the Board of Directors for professional reasons at the end of 2013 after seven years in office. The Board of Directors of Swiss Post Ltd now comprises three women and six men, thus meeting the target set by the Federal Council for representation of both sexes on boards of directors of enterprises affiliated with the Confederation.

The term of office of 1 January 2013 to 31 December 2014 applicable to current members of the Board of Directors was extended by the General Meeting until the ordinary General Meeting to be held in 2015. A re-election will then be held for the usual two-year term of office.

Curricula vitae of the new members of the Board:

Dr. Myriam Meyer (51) is the owner and managing director of the company mmtec. As the holder of a PhD in mechanical engineering from the ETH Zurich, she has worked at top management level for a range of industrial companies in aviation, pharmaceuticals and the mechanical and process engineering industry for almost 20 years. She also has extensive experience serving on the boards of various international companies. Dr. Meyer is originally from the canton of Valais. She is a member of the Board of Directors of SITA, Repower AG and Bedag Informatik AG. She has also been appointed Vice-President of the Commission for Technology and Innovation (CTI) by the Federal Council, is a member of the Industrial Advisory Board of the ETH Zurich / mechanical engineering dept. and a member of the Board of Trustees of Swisscontact.

Nadja Lang (41) is managing director of the Max Havelaar Foundation (Switzerland) and Chair of the Global Account Management Steering Committee at the umbrella organization Fairtrade International. As well as being able to share her wide-ranging experience of the management of national and international private sector companies and NGOs, the Zurich-born business administration graduate has in-depth know-how within marketing, sales, sustainability and corporate social responsibility. Nadja Lang is also Vice-Chairman of the Board of Directors of Metron AG.
